Terms & Conditions – Referral of Independent Contractors
1. Introduction
These Terms & Conditions (“Agreement”) govern the referral of independent contractors (“Contractors”) by brick&batten LLC (“Referrer”) to clients (“Client”). By engaging with a referred Contractor, the Client agrees to the terms outlined below.
2. Nature of Referral
Referrer provides recommendations or introductions to Contractors solely as a convenience. Referrer does not employ, manage, supervise, or control the work performed by any Contractor.
3. Independent Contractor Status
All Contractors are independent third parties. Nothing in this Agreement shall be construed as creating a partnership, joint venture, employment, or agency relationship between Referrer and any Contractor.
4. No Warranty or Guarantee
Referrer makes no representations or warranties, express or implied, regarding:

The quality, accuracy, or completeness of work performed by Contractors

The qualifications, licensing, or certifications of Contractors

The timeliness or outcome of any services provided
All services are provided by Contractors “as is” and at the Client’s own risk.
5. Client Responsibility
Client is solely responsible for:

Conducting their own due diligence before hiring any Contractor

Entering into a separate agreement directly with the Contractor

Managing, supervising, and approving the Contractor’s work
6. Limitation of Liability
To the fullest extent permitted by law, Referrer shall not be liable for:

Any damages, losses, or claims arising out of or related to the work performed by a Contractor

Any direct, indirect, incidental, consequential, or special damages

Any disputes between Client and Contractor
7. Indemnification
Client agrees to indemnify and hold harmless Referrer from any claims, liabilities, damages, or expenses (including legal fees) arising from:

The Client’s engagement with any Contractor

The Contractor’s work, actions, or omissions
8. No Ongoing Obligation
Referrer has no obligation to:

Monitor Contractor performance

Resolve disputes between Client and Contractor

Provide ongoing support after the referral is made
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country].
10. Acceptance
By proceeding with a referred Contractor, Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
11. Referral Fees
Referrer may receive a referral fee from Contractors. This does not alter the independent nature of the relationship or create any responsibility for the Contractor’s work.
